Welcome to MR Dev Infra Solutions. These Terms and Conditions ("Terms") govern your access to and use of our website and the technology services we offer. By using this website or engaging our services, you agree to the applicable provisions of these Terms. If you do not agree, please discontinue use of the website.
1. About Us
MR Dev Infra Solutions ("we", "us", or "our") provides technology and digital services, which may include website development, web and mobile application development, custom software solutions, cloud infrastructure, DevOps, IT consulting, deployment, maintenance, and related technical services.
The precise services provided to a client will be described in the applicable proposal, quotation, or written project agreement.
2. Acceptance and Scope of These Terms
These Terms apply to visitors of our website, prospective clients, and clients to the extent relevant to their use of the website and our services.
A specific project may be governed by a separate Master Services Agreement (MSA), Statement of Work (SOW), accepted quotation, proposal, or other written agreement. Where such an agreement conflicts with these general Terms, the project agreement will take precedence for that engagement to the extent stated in it.
Browsing our website or submitting an enquiry does not, by itself, establish a commitment by either party to enter into a project.
3. Permitted Use of the Website

- Use the website for fraudulent, unlawful, or misleading activities.
- Attempt unauthorised access to our website, servers, accounts, or systems.

We may restrict or suspend access where reasonably necessary to protect the website, our users, our systems, or our legal rights.
4. Enquiries and Communications
Submitting a contact form or sending an email does not constitute an accepted quotation, binding project contract, or guarantee that we will undertake the requested work.
You agree to provide accurate contact information and truthful details about your requirements. We may contact you to discuss your enquiry, clarify requirements, or provide a proposal.
Please do not submit passwords, payment card details, confidential credentials, or sensitive personal information through a general contact form.
5. Project Scope and Deliverables
Before starting a project, the parties should agree in writing on the relevant scope, deliverables, fees, milestones, timelines, acceptance criteria, and client responsibilities.
Requests that add or change features, designs, integrations, platforms, or other agreed requirements may be treated as additional work. Any changes to pricing or delivery dates should be agreed upon before the additional work begins.
Estimates and delivery dates are not guaranteed unless expressly agreed as binding in the applicable project agreement. We will make reasonable efforts to meet agreed schedules and communicate material delays.
6. Client Responsibilities
The client agrees to:
- Provide accurate requirements, content, data, and project instructions.

Delays caused by missing information, late approvals, or third-party dependencies may affect project timelines and, where agreed, costs.
7. Fees, Invoices, and Taxes
Fees, payment milestones, expenses, and payment deadlines will be specified in the accepted proposal, quotation, invoice, or project agreement.
- Any advance payment or deposit must be agreed upon before work begins.
- Invoices must be paid by the agreed due date.
- Applicable taxes, including GST where legally chargeable, will be handled in accordance with applicable law.

- Additional work outside the agreed scope may incur additional fees following approval.
If an undisputed invoice remains unpaid, we may give notice and, where permitted by the project agreement and applicable law, suspend the affected services until payment is received. Any late fees or interest must be agreed where required and permitted by law.
8. Intellectual Property Rights
8.1 Website Content
Unless otherwise stated, the text, branding, graphics, designs, layout, and other content on this website belong to us or our respective licensors. They may not be copied, modified, distributed, or commercially exploited without permission, except as permitted by law.
8.2 Client Materials
The client retains ownership of the content, trademarks, data, and other materials it supplies to us. The client authorises us to use those materials only as reasonably necessary to perform the agreed services.
8.3 Custom Project Deliverables
Ownership of custom source code, designs, documentation, and other deliverables will be determined by the applicable project agreement. Where a transfer of ownership is agreed, it will take effect subject to the conditions specified in that agreement, including full payment where expressly required.
Unless expressly agreed otherwise, we retain ownership of our pre-existing tools, reusable components, libraries, frameworks, methodologies, and general know-how.
8.4 Third-Party and Open-Source Software
Software projects may include third-party or open-source components subject to their own licence terms. Such components remain governed by the applicable licences, and we cannot transfer ownership of rights we do not own.
9. Confidentiality
Each party may receive non-public business, technical, financial, or operational information from the other party. The receiving party agrees to use such information only for the relevant engagement and protect it against unauthorised disclosure.
Confidential information does not include information that is publicly available without breach, was lawfully known beforehand, was independently developed, or was lawfully obtained from another source without a confidentiality obligation.
Where required by law, confidential information may be disclosed to the extent legally required. Additional confidentiality obligations may be included in a separate non-disclosure agreement or project agreement.
10. Privacy and Data Protection
We handle personal information collected through our website in accordance with our Privacy Policy and applicable data protection laws.
Where our services involve processing personal data on behalf of a client, the parties should agree on appropriate processing instructions, security measures, retention, deletion, and incident-handling responsibilities.
Clients are responsible for ensuring that they have the necessary rights and lawful authority to provide personal data and instructions to us.
For further information about the information we collect and how it is handled, please read our Privacy Policy.
11. Security and Credentials
We will use reasonable security practices appropriate to the agreed scope of our services. However, no website, application, server, or network can be guaranteed to be completely secure or free from vulnerabilities and attacks.
Clients should maintain appropriate access controls, multi-factor authentication, software updates, credential rotation, and backups for systems under their control. Each party should promptly notify the other of a relevant security incident as required by the applicable agreement or law.
12. Third-Party Services
Our work may rely on third-party providers, including hosting services, cloud platforms, APIs, domain registrars, payment processors, software vendors, and external libraries.
These providers may impose separate terms, fees, usage limits, and technical requirements. We are not responsible for independent outages, policy changes, or actions of third-party providers except to the extent responsibility arises under the applicable agreement or law.
Third-party subscriptions and recurring charges are the client's responsibility where the relevant accounts are registered in the client's name, unless otherwise agreed in writing.
13. Warranties and Service Limitations
We will perform agreed services with reasonable care and skill and in accordance with the applicable project agreement.
Unless expressly agreed otherwise in writing:
- Prototypes, demonstrations, estimates, and preliminary designs may change during development.
- We do not guarantee particular revenue, search rankings, business results, or customer acquisition.
- Continuous availability, error-free operation, and compatibility with every device or third-party system are not guaranteed.
- Hosting, maintenance, backups, monitoring, and ongoing support are not included unless agreed.
Nothing in these Terms excludes any warranty, right, or remedy that cannot lawfully be excluded.
14. Maintenance and Support
Bug fixes, maintenance, upgrades, monitoring, service-level commitments, and technical support will be provided only to the extent specified in the applicable project agreement or support plan.
Unless otherwise agreed, delivery of a project does not include unlimited revisions, new features, continuous monitoring, 24-hour support, or indefinite maintenance.
15. Limitation of Liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, or consequential losses, including loss of profits, revenue, business opportunities, anticipated savings, or goodwill, where such losses may lawfully be excluded.
To the extent permitted by law, our aggregate liability for a particular engagement will be subject to the liability cap specified in the applicable project agreement. If no cap has been agreed, any applicable limitation will be determined under the governing law and the facts of the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited. Any liability cap should be expressly agreed and reviewed for enforceability before being relied upon.
16. Indemnification
Each party is responsible for its own conduct, obligations, and compliance with applicable law. Any indemnification obligations, including responsibility for third-party claims, will be governed by the applicable project agreement. Neither party assumes an unlimited indemnity merely by using this website.
17. Suspension and Termination
Project suspension and termination will be governed by the applicable project agreement. Where appropriate, a party may give written notice of a material breach and a reasonable opportunity to remedy it before exercising termination rights.
We may suspend affected services where reasonably necessary to address a material security risk, unlawful activity, or unpaid undisputed invoices, subject to applicable law and appropriate notice where practicable.
Upon termination, outstanding fees properly due for services performed and approved expenses will be handled in accordance with the project agreement and applicable law. Each party must continue to comply with obligations that survive termination, including applicable confidentiality and intellectual property provisions.
18. Force Majeure
Neither party will be responsible for a delay or failure caused by circumstances beyond its reasonable control, to the extent permitted by law. Such circumstances may include natural disasters, war, civil unrest, government restrictions, major network failures, or widespread third-party infrastructure outages.
The affected party should notify the other party within a reasonable time and take reasonable steps to minimise the impact. Payment obligations for services already properly performed remain subject to the applicable agreement and law.
19. External Links and Website Availability
Our website may contain links to third-party websites for convenience. We do not control and are not responsible for their content, availability, security, or privacy practices.
We aim to keep our website available and its content accurate, but we do not guarantee uninterrupted access or that all information will always be current. We may update or discontinue website features where reasonably necessary.
20. Governing Law and Disputes
These Terms are governed by the laws of India, subject to applicable conflict-of-law rules and mandatory legal protections.
The parties will attempt to resolve disputes through good-faith discussions. If a dispute cannot be resolved amicably, either party may seek remedies before a court or other forum having lawful jurisdiction.
Bengaluru, Karnataka, India is proposed as the jurisdiction for disputes, subject to the competent court having jurisdiction and the clause being legally enforceable. A separate project agreement may establish another legally valid dispute resolution process.
21. Changes to These Terms
We may update these Terms to reflect changes in our services, business practices, or legal requirements. The revised version will be published on this page with an updated revision date.
Changes apply prospectively, subject to applicable law. Changes to an existing project agreement must follow the variation procedure in that agreement or otherwise required by law.
22. General Provisions
- Severability: If any provision is held invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
- No waiver: Failure to enforce a provision immediately does not waive the right to enforce it later.
- Independent parties: These Terms do not create a partnership, joint venture, employment relationship, or agency.
- Assignment: Assignment of rights or obligations is subject to the applicable agreement and law.
- Electronic communications: Electronic communications and records may be used where legally permitted, subject to any applicable signature or formality requirements.
